Terms of service

Effective [EFFECTIVE DATE]. These terms are between you and [LEGAL ENTITY NAME] ("we", "us") and govern use of the Formulynx website and platform.

1. Who these terms apply to

Customer organizations are the pharmacies, clinics and similar entities that subscribe to the platform. Users are the staff, providers and patients an organization invites. By creating an account or accepting an invitation you agree to these terms; an organization's administrator agrees on the organization's behalf. Organizations that handle protected health information also sign a separate business associate agreement with us, which controls over these terms for that information.

2. Accounts

  • Keep your sign-in details private and tell your organization's administrator at once if you think they have been used by someone else.
  • You are responsible for what happens under your account. An organization is responsible for the people it invites and for removing access when it should end.
  • Provide accurate information and keep it current.

3. Acceptable use

You agree not to:

  • access or try to access records of an organization or patient you are not authorized to see;
  • use the platform for any purpose that breaks the law, including health privacy, prescribing and pharmacy regulations;
  • upload malicious code, interfere with the service, or probe or test its security without our written permission;
  • copy, resell or reverse engineer the platform, or use automated tools to extract data beyond the exports we provide;
  • enter patient information into the public contact form or anywhere else outside the platform.

We may suspend access that we reasonably believe violates these terms or threatens the security of the service, and we will tell the organization's administrator when we do.

4. Clinical responsibility

Formulynx is workflow software. It does not give medical or pharmaceutical advice and does not make clinical decisions. Prescribing, verification, dispensing and patient care remain the responsibility of licensed professionals and their organizations.

5. Subscriptions and billing

  • Subscriptions are purchased by and billed to the customer organization, not to individual users or patients.
  • Plans are billed monthly in advance through our payment provider. Prices are shown on the pricing page and may change with at least 30 days' notice to the organization's administrator; changes take effect at the next billing period.
  • Failed payments may lead to a suspended account after reasonable notice. Data is not deleted while an account is suspended.
  • Taxes are added where the law requires.

6. Cancellation and refunds

  • An organization may cancel at any time from its billing settings or by writing to [SUPPORT CONTACT EMAIL].
  • Cancellation takes effect at the end of the current billing period. The organization keeps access until then.
  • We do not refund the unused part of a billing period, except where the law requires a refund or where we have failed to provide the service as described.
  • If we discontinue the platform or materially reduce it, we will refund any prepaid, unused period.
  • After cancellation the organization may request an export of its records for 30 days. After that period we delete the organization's data, except audit logs and other records we must keep by law, which are retained only for that purpose.

7. Your data

Records an organization creates belong to that organization. We handle them as described in the privacy policy and, for protected health information, the business associate agreement. We may use aggregate, de-identified usage statistics to operate and improve the service.

8. Our intellectual property

The platform, its design and its software are ours or our licensors'. You receive a limited, non-exclusive right to use the platform for your organization's internal operations while your subscription is active. Feedback you give us may be used without obligation to you.

9. Availability and support

We aim for the platform to be available at all times but do not promise uninterrupted service. We may perform maintenance, with notice where practical. Support is provided by email at [SUPPORT CONTACT EMAIL] during business hours.

10. Disclaimer of warranties

Except as expressly stated in these terms or a signed agreement, the platform is provided "as is" and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, to the extent the law allows.

11. Limitation of liability

To the extent the law allows, neither party is liable to the other for indirect, incidental, special or consequential damages, and our total liability for all claims in any twelve-month period is limited to the fees the organization paid us in that period. These limits do not apply to a party's breach of the business associate agreement, its indemnity obligations, or liability that cannot be limited by law.

12. Indemnity

A customer organization will defend and indemnify us against third-party claims arising from its or its users' use of the platform in breach of these terms or the law. We will defend and indemnify the organization against third-party claims that the platform, used as permitted, infringes a United States patent, copyright or trademark.

13. Termination for cause

Either party may terminate on written notice if the other materially breaches these terms and does not cure within 30 days of notice. We may terminate immediately for a breach of section 3 that we reasonably believe endangers patients, data or the service.

14. Governing law and disputes

These terms are governed by the laws of the State of [GOVERNING LAW STATE], without regard to its conflict of laws rules. The parties will try in good faith to resolve any dispute informally for 30 days before starting proceedings, which will be brought in the state or federal courts located in [GOVERNING LAW STATE].

15. Changes to these terms

We may update these terms. We will post the new version here with a new effective date and notify organization administrators by email at least 30 days before material changes take effect. Continued use after that date is acceptance.
